Welcome to SWLEF. These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "Content Owner," "Licensor," or "Client") and SWLEF ("Company," "we," "us," or "our"), a digital content distribution and management company. By accessing or using our platform, services, or any associated tools, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

1.1 Scope of Terms1.1 نطاق الشروط

These Terms govern all aspects of the relationship between SWLEF and its clients, including but not limited to: digital content distribution, content management, metadata optimization, analytics services, revenue collection and distribution, and any ancillary services provided through our platform. These Terms apply to all content formats including audio, video, text, images, interactive media, and any derivative works thereof.

Your use of SWLEF's services constitutes acceptance of these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, you must immediately cease all use of our services.

2. Definitions2. التعريفات

For the purposes of these Terms, the following definitions shall apply:

"Content" means any digital media including but not limited to music recordings, sound recordings, musical compositions, audiovisual works, podcasts, audiobooks, literary works, artwork, metadata, and any associated materials submitted to or through the Platform.

"Platform" means the SWLEF digital content distribution and management system, including all web interfaces, APIs, dashboards, mobile applications, and backend infrastructure.

"Distributor" means SWLEF acting in its capacity as the entity responsible for delivering Content to Digital Service Providers and managing the distribution pipeline.

"Licensor" means any individual, company, or entity that owns or controls the rights to Content and grants SWLEF the right to distribute such Content.

"Digital Service Provider" (DSP) means any third-party platform, store, streaming service, or outlet through which Content is made available to end consumers, including but not limited to music streaming services, video platforms, e-book retailers, podcast directories, and social media platforms.

"Territory" means the geographic region(s) in which Content is authorized for distribution, as specified in the applicable distribution agreement or content upload settings.

"Revenue Share" means the percentage of Net Revenue payable to the Licensor after deduction of applicable fees, commissions, and charges as outlined in the applicable service agreement.

"Net Revenue" means gross revenue received by SWLEF from DSPs attributable to a Licensor's Content, less any applicable taxes, DSP fees, transaction costs, and chargebacks.

"Effective Date" means the date on which the Licensor first accesses the Platform, submits Content, or executes a service agreement with SWLEF, whichever occurs first.

SWLEF provides comprehensive digital content distribution services, including but not limited to: ingestion and encoding of Content in multiple formats, delivery of Content to a global network of DSPs, metadata management and optimization, real-time analytics and reporting, revenue collection and disbursement, and content lifecycle management.

3.2 Distribution Channels3.2 قنوات التوزيع

SWLEF maintains partnerships with a wide range of DSPs worldwide. The specific DSPs available for distribution may vary and are subject to change. SWLEF does not guarantee availability on any particular DSP and reserves the right to add or remove distribution channels at its discretion. Content acceptance by any DSP is subject to that DSP's own terms, policies, and editorial guidelines.

Licensors may specify the territories in which their Content is to be distributed. SWLEF will use commercially reasonable efforts to honor territory restrictions. However, due to the nature of digital distribution, SWLEF cannot guarantee absolute geographic restriction compliance by third-party DSPs. Licensors acknowledge that territory management relies on DSP cooperation and technical capabilities.

3.4 Content Delivery Timeline3.4 الجدول الزمني لتسليم المحتوى

SWLEF endeavors to deliver Content to DSPs within a commercially reasonable timeframe following successful ingestion and quality assurance review. Typical delivery times range from 24 hours to 14 business days depending on the DSP and content type. SWLEF shall not be liable for delays caused by DSP processing times, content review queues, or technical issues beyond SWLEF's reasonable control.

4. Content Licensing4. ترخيص المحتوى

4.1 Grant of License4.1 منح الترخيص

By submitting Content to the Platform, the Licensor grants SWLEF a non-exclusive (unless otherwise agreed in writing), worldwide (or territory-limited as specified), sublicensable license to reproduce, distribute, publicly perform, publicly display, transmit, and make available the Content through DSPs and any other distribution channels approved by the Licensor. This license includes the right to create and distribute promotional materials, clips, previews, and samples of the Content as reasonably necessary for marketing and distribution purposes.

SWLEF supports the following license arrangements:

• Non-Exclusive License: The Licensor retains the right to distribute Content through other distributors simultaneously. This is the default license type.

• Exclusive License: The Licensor grants SWLEF the sole right to distribute Content in specified territories and/or through specified DSPs for the agreed term. Exclusive licenses require a separate written agreement.

Unless otherwise specified in a separate agreement, the license granted herein shall remain in effect for an initial term of one (1) year from the Effective Date and shall automatically renew for successive one-year terms unless either party provides written notice of non-renewal at least thirty (30) days prior to the end of the then-current term. Upon termination, SWLEF will initiate takedown requests to DSPs, though complete removal may take up to ninety (90) days due to DSP processing requirements.

The Licensor warrants that it holds all necessary rights for distribution in each specified territory. SWLEF reserves the right to restrict or remove Content from territories if it receives a valid rights dispute, legal claim, or takedown notice pertaining to any territory. The Licensor shall indemnify SWLEF against any claims arising from unauthorized territorial distribution.

Nothing in these Terms shall be construed as a transfer of ownership of any intellectual property rights. The Licensor retains all right, title, and interest in and to the Content, including all copyrights, trademarks, and other intellectual property rights therein. SWLEF retains all right, title, and interest in and to the Platform, its technology, algorithms, processes, and proprietary tools.

SWLEF respects the intellectual property rights of others and expects its Licensors to do the same. SWLEF implements industry-standard content identification and fingerprinting technologies to detect and prevent unauthorized use of Content. The Licensor is solely responsible for ensuring that all Content submitted does not infringe upon the intellectual property rights of any third party.

Each party grants the other a limited, non-exclusive, non-transferable license to use its trademarks, logos, and trade names solely for the purposes of performing obligations under these Terms, including marketing and promotional activities related to Content distribution. All such use must comply with the trademark owner's brand guidelines, and either party may revoke this permission upon written notice.

6. Content Protection6. حماية المحتوى

SWLEF employs industry-standard digital rights management technologies to protect Content from unauthorized reproduction, distribution, and access. The specific DRM measures applied may vary by DSP and content format. SWLEF does not guarantee that DRM protections are impervious to circumvention and shall not be liable for unauthorized access resulting from DRM circumvention by third parties.

6.2 Anti-Piracy Measures6.2 إجراءات مكافحة القرصنة

SWLEF maintains an active anti-piracy program that includes: automated monitoring of online platforms for unauthorized copies of Content, issuance of DMCA takedown notices and equivalent notices under applicable local laws, cooperation with law enforcement agencies when appropriate, and periodic reporting to Licensors on anti-piracy activities. Licensors may request additional anti-piracy services subject to separate agreement and applicable fees.

6.3 Takedown Procedures6.3 إجراءات الإزالة

Upon identification of unauthorized use of Content, SWLEF will: (a) issue a takedown notice to the infringing party or hosting service within five (5) business days; (b) escalate repeat infringements to legal counsel; (c) document all enforcement actions for the Licensor's records; and (d) provide the Licensor with status updates on active enforcement matters upon request. The Licensor may also report suspected infringement directly through the Platform's reporting tools.

7. Revenue & Payments7. الإيرادات والمدفوعات

SWLEF offers multiple revenue share models depending on the service tier and agreement type. The applicable revenue share percentage shall be specified in the Licensor's service agreement or account settings. Standard revenue shares typically range from 70% to 90% of Net Revenue payable to the Licensor. Custom revenue share arrangements may be negotiated for high-volume Licensors or exclusive agreements.

7.2 Payment Schedule7.2 جدول الدفع

Payments to Licensors shall be made on a monthly basis, no later than forty-five (45) days following the end of each calendar month in which revenue was received from DSPs. Payments are subject to a minimum threshold of $50 USD (or equivalent in local currency). If the accrued balance does not meet the minimum threshold, it shall carry forward to the next payment period. SWLEF supports payment via bank wire transfer, PayPal, and other methods as made available through the Platform.

SWLEF provides Licensors with access to a comprehensive analytics dashboard that includes: streaming and download counts by DSP, territory, and time period; revenue breakdowns by Content, DSP, and territory; trend analysis and performance metrics; and exportable reports in CSV and PDF formats. Reporting data is updated regularly, though real-time accuracy is not guaranteed due to variations in DSP reporting cycles. Licensors shall have twelve (12) months from the date a royalty statement is made available to raise any objections to the accuracy of such statement.

7.4 Taxes7.4 الضرائب

The Licensor is solely responsible for all taxes, duties, and levies applicable to payments received from SWLEF. SWLEF may be required to withhold taxes as mandated by applicable law. Licensors must provide accurate and up-to-date tax documentation. Failure to provide required tax documentation may result in payment delays or increased withholding rates.

SWLEF utilizes artificial intelligence and machine learning technologies to enhance its services, including but not limited to: automated metadata tagging and optimization, content recommendation algorithms, fraud and anomaly detection in streaming data, market trend analysis and predictive analytics, content quality assessment, and automated rights management and conflict resolution. Licensors acknowledge and consent to the use of AI technologies in the processing and management of their Content.

8.2 Data Processing by AI8.2 معالجة البيانات بواسطة الذكاء الاصطناعي

AI systems may process the following data: Content audio/visual characteristics for fingerprinting and identification, metadata and catalog information, streaming and consumption patterns (in aggregate and anonymized form), market data and competitive intelligence, and user engagement metrics. SWLEF ensures that AI processing complies with applicable data protection regulations and that Content is not used to train third-party AI models without explicit Licensor consent.

8.3 Automated Decisions8.3 القرارات الآلية

Certain decisions within the Platform may be made or assisted by AI systems, including content eligibility determinations, fraud detection flags, and metadata corrections. Licensors have the right to request human review of any automated decision that materially affects their Content or revenue. Such requests must be submitted through the Platform's support channels within thirty (30) days of the automated decision.

The Licensor represents and warrants that: (a) it is the rightful owner of all Content submitted or has been duly authorized by the rightful owner to submit and distribute such Content; (b) the Content does not infringe upon the intellectual property rights, privacy rights, publicity rights, or any other rights of any third party; (c) all necessary licenses, clearances, and permissions have been obtained for all elements of the Content, including samples, interpolations, cover versions, and featured artists; and (d) the Content does not contain unlawful, defamatory, obscene, or otherwise objectionable material.

All Content must meet SWLEF's technical specifications, which include but are not limited to: audio Content must be delivered in lossless format (WAV or FLAC) at a minimum of 16-bit/44.1kHz; video Content must meet the minimum resolution and encoding standards specified in the Platform's delivery guidelines; artwork must be in JPEG or PNG format at a minimum resolution of 3000x3000 pixels; and metadata must be complete, accurate, and comply with industry standards (DDEX, ISRC, UPC/EAN). SWLEF reserves the right to reject Content that does not meet these specifications.

The Licensor is responsible for maintaining accurate and up-to-date account information, including contact details, payment information, and tax documentation. The Licensor must promptly notify SWLEF of any changes to rights ownership, catalog status, or any disputes that may affect the distribution of Content. Failure to maintain accurate account information may result in payment delays or service disruption.

10. SWLEF Obligations10. التزامات SWLEF

SWLEF commits to: (a) maintaining Platform availability of at least 99.5% uptime, excluding scheduled maintenance windows; (b) processing Content submissions within five (5) business days of receipt; (c) initiating distribution to selected DSPs within two (2) business days of content approval; and (d) providing responsive customer support during business hours. Scheduled maintenance will be communicated at least 48 hours in advance when possible.

SWLEF shall provide Licensors with: monthly royalty statements detailing revenue by Content, DSP, and territory; access to real-time analytics dashboards; annual summary reports upon request; and prompt notification of any material issues affecting Content distribution or revenue.

SWLEF shall use commercially reasonable efforts to protect Content from unauthorized access, reproduction, and distribution, including implementing appropriate technical and organizational security measures, monitoring for potential infringement, and taking enforcement action when infringement is identified.

11. Confidentiality11. السرية

"Confidential Information" means any non-public information disclosed by either party to the other, including but not limited to: business plans, financial data, revenue figures, client lists, proprietary technology, trade secrets, unreleased Content, marketing strategies, and any information marked as confidential. Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was known to the receiving party prior to disclosure; (c) is independently developed by the receiving party; or (d) is rightfully received from a third party without restriction.

Each party agrees to: (a) hold Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party without the prior written consent of the disclosing party; (c) use Confidential Information only for the purposes contemplated by these Terms; and (d) protect Confidential Information using at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care. These obligations shall survive for a period of five (5) years following disclosure.

A party may disclose Confidential Information if required by applicable law, regulation, or court order, provided that the disclosing party provides prompt written notice to the other party (to the extent legally permitted) and cooperates in seeking protective orders or other appropriate safeguards.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SWLEF BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, REGARDLESS OF THE THEORY OF LIABILITY. SWLEF's total aggregate liability under these Terms shall not exceed the total fees paid by the Licensor to SWLEF during the twelve (12) months preceding the event giving rise to the claim.

The Licensor shall indemnify, defend, and hold harmless SWLEF, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) any breach of the Licensor's representations, warranties, or obligations under these Terms; (b) any claim that the Content infringes upon the intellectual property or other rights of any third party; (c) the Licensor's violation of any applicable law or regulation; or (d) any third-party claims related to the Content.

يعوض المرخِّص SWLEF ومسؤوليها ومديريها وموظفيها ووكلائها والشركات التابعة لها ويدافع عنهم ويحميهم من أي وجميع المطالبات والأضرار والخسائر والمسؤوليات والتكاليف والنفقات (بما في ذلك أتعاب المحاماة المعقولة) الناشئة عن أو المتعلقة بـ: (أ) أي خرق لإقرارات المرخِّص أو ضماناته أو التزاماته بموجب هذه الشروط؛ (ب) أي مطالبة بأن المحتوى ينتهك الملكية الفكرية أو حقوق أخرى لأي طرف ثالث؛ (ج) انتهاك المرخِّص لأي قانون أو لائحة معمول بها؛ أو (د) أي مطالبات من أطراف ثالثة تتعلق بالمحتوى.

12.3 SWLEF Indemnification12.3 تعويض SWLEF

SWLEF shall indemnify, defend, and hold harmless the Licensor from and against any claims, damages, losses, liabilities, costs, and expenses arising out of: (a) SWLEF's gross negligence or willful misconduct; (b) SWLEF's breach of its obligations under these Terms; or (c) any claim that the Platform infringes upon the intellectual property rights of any third party.

تعوض SWLEF المرخِّص وتدافع عنه وتحميه من أي مطالبات وأضرار وخسائر ومسؤوليات وتكاليف ونفقات ناشئة عن: (أ) الإهمال الجسيم أو سوء السلوك المتعمد من SWLEF؛ (ب) خرق SWLEF لالتزاماتها بموجب هذه الشروط؛ أو (ج) أي مطالبة بأن المنصة تنتهك حقوق الملكية الفكرية لأي طرف ثالث.

13. Termination13. الإنهاء

Either party may terminate these Terms for any reason by providing thirty (30) days' written notice to the other party. During the notice period, SWLEF will continue to distribute Content and collect revenue in the ordinary course of business.

Either party may terminate these Terms immediately upon written notice if the other party: (a) commits a material breach that remains uncured for fifteen (15) days after written notice; (b) becomes insolvent, files for bankruptcy, or has a receiver appointed over its assets; (c) engages in fraudulent activity; or (d) violates applicable laws in a manner that materially affects the other party.

13.3 Post-Termination13.3 ما بعد الإنهاء

Upon termination: (a) SWLEF will initiate takedown requests to all DSPs within ten (10) business days, though complete removal may take up to ninety (90) days; (b) SWLEF will pay all accrued and undisputed revenue to the Licensor within sixty (60) days following the end of the final reporting period in which revenue was received; (c) each party will return or destroy Confidential Information of the other party upon request; and (d) the Licensor's Content will be archived for a period of twelve (12) months to facilitate any post-termination revenue reconciliation. Sections relating to confidentiality, liability, indemnification, and governing law shall survive termination.

14. Governing Law14. القانون الحاكم

14.1 Applicable Law14.1 القانون المعمول به

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which SWLEF is incorporated, without regard to its conflict of laws principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.

تخضع هذه الشروط وتُفسر وفقًا لقوانين الولاية القضائية التي تأسست فيها SWLEF، دون اعتبار لمبادئ تعارض القوانين. تخضع أي نزاعات ناشئة بموجب هذه الشروط للاختصاص القضائي الحصري للمحاكم في تلك الولاية القضائية.

14.2 Dispute Resolution14.2 حل النزاعات

Prior to initiating any legal proceedings, the parties agree to attempt to resolve disputes through good-faith negotiation for a period of thirty (30) days. If negotiation fails, the parties may agree to submit the dispute to binding arbitration under the rules of a mutually agreed arbitration body. The language of arbitration shall be English or Arabic, as agreed by the parties.

قبل بدء أي إجراءات قانونية، يوافق الطرفان على محاولة حل النزاعات من خلال التفاوض بحسن نية لمدة ثلاثين (30) يومًا. في حالة فشل التفاوض، يجوز للطرفين الاتفاق على إحالة النزاع إلى تحكيم ملزم بموجب قواعد هيئة تحكيم متفق عليها بشكل متبادل. تكون لغة التحكيم الإنجليزية أو العربية، حسب اتفاق الطرفين.

14.3 Severability14.3 قابلية الفصل

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the remaining provisions, which shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.

إذا وُجد أن أي حكم من هذه الشروط غير صالح أو غير قانوني أو غير قابل للتنفيذ من قبل محكمة مختصة، فإن هذا البطلان لا يؤثر على الأحكام المتبقية التي تظل سارية بالكامل. يتم تعديل الحكم الباطل بالحد الأدنى اللازم لجعله صالحًا وقابلًا للتنفيذ مع الحفاظ على النية الأصلية للطرفين.

15. Amendment of Terms15. تعديل الشروط

SWLEF reserves the right to modify, update, or amend these Terms at any time. Material changes will be communicated to Licensors via email notification and/or prominent notice on the Platform at least thirty (30) days prior to the effective date of such changes. The "Last Updated" date at the top of these Terms will reflect the most recent revision date.

15.2 Acceptance of Changes15.2 قبول التغييرات

Continued use of the Platform after the effective date of amended Terms constitutes acceptance of the changes. If a Licensor does not agree to the amended Terms, the Licensor must terminate its account before the effective date of the changes. In such case, the pre-amendment Terms shall govern the wind-down of the relationship as set forth in Section 13.
